City & Capital are representing a highly respected & fast growing investment house & commercial property finance lender who have retained our services to identify & appoint an experienced, well qualified & forward thinking legal specialist as their In-HouseLawyer/Legal Counsel at a genuinely exciting time.

Our client has doubled the size of their UK business twice in the past two years. They are set to achieve the same feat again over the coming period and as a result they feel the time is right to bring in house much of their legal work.

Our client have become a 'go to place’ for institutional investors looking to make their returns on the UK property market. These are corporate entities entrust our client to underwrite commercial property loans that will allow them to achieve their idealreturns in the sector.

In terms of lending, our client offers short term commercial property loans to a range of property investors and developers undertaking key property projects that require funding in the UK.

The focus of this appointment is for the incoming individual to work both strategically and day to day. In terms of the strategic element of the role, this will include reviewing & overhauling the businesses legal framework to ensure it is in line with theneeds of their activity & to ensure risk & opportunity is managed accordingly, and in equal measure.

Day to day you will support the company’s senior management team with key questions and documents, as well as legal strategies for specific circumstances. At the core of the legal work you will oversee you would expect much of this to pertain to real estate/financialservices & lending and investment/investor relationships.

As this role is designed to bring all legal elements in house you will retain relationships with their outsourced legal counsel for matters that may not meet your specialisms - or to ensure 'second opinions’ are sought, wherever needed.

**Duties of the role will include (but may not be limited to)**:

- Full legal review of the business to identify strategic or legal risk management improvements
- Mitigating all legal risks by designing and improving policies/practises across the business
- Providing timely advice to senior staff members on legal queries and requests
- Drafting, reviewing and negotiating commercial contracts and agreements
- Ensuring that the business is complying with all relevant laws at any given time
- Improving the legal knowledge within the business via regular training and updates
- Designing loan documentation, legal property finance loan letters & contracts
- Managing any litigation processes within the business from end to end, including court
- Oversight of external partners, such as lawyers, QS, auditors etc
- Reviewing lease agreements, report titles, loan documentation for sign off
- Devising and delivering documentation, such as NDA’s
- Offering guidance on broader legal matters within MFS, engaging external counsel wherever required

The ideal individual for this role will hold a law degree & will currently be active on the SRA register. You do not need to be practising for this role. You must also have a strong legal knowledge of real estate, real estate lending, banking and/or institutionalinvestments/funding lines.

You would expect to be heavily involved in supporting queries on loans, investments & borrowers positions and assets. So elements such as understanding loan documentation, investment documents report titles and all contracts would be ideal.

Our client does not suffer much of the associated red tape & bureaucracy that you would associate with larger, more cumbersome organisations. This is key as the arriving individual will need to be inspired by the opportunity to work with a lot of autonomy& with a very proactive approach to business improvements & activity.

You will engage with a broad range of external & internal stakeholders. This may include investment partners & borrowers as well as professional partners, introduers & the company CEO. Critically you will be able to translate complex legal matters and requirementsin a manner that those without the legal background will understand.

**The ideal individual for this role will**:

- Be active on the SRA register
- Have a solild understanding of real estate investment & lending
- Demonstrate knowledge & experience of documentation and laws that pertain to lending & investments
- Have excellent communication, presentation & negotiation skills
- Be an expert at reviewing, advising on & drafting legal documentation
- Have a knack for making the complicated simple
- Will be confident of building a legal framework
- Be keen to grow with the business for the long term, in line with their own growth

The basic salary is entirely relevant to the experience. The range has been outlined as between £100k-£150k basic salary, though higher offers may well be considered for exceptional & relevant experience. This will be complemented by access to our clientsfavourable bonus scheme which will assist with increasing annual earnings substantially.

Most notably, as the business is in such growth, it is expected that the arriving legal counsel will be in an excellent position to propel both their starting salary & career standing forward quickly within, once excellent performance is delivered. Our clientwill likely expand their legal team internally in line with the scale of the business. This may then require you to build a team beneath you in time.
