Reporting to the Chief Risk Officer, the General Counsel will play a pivotal role in helping Alter Domus navigate legal complexities and make informed legal decisions to meet our ambitious growth objectives. In addition, you will provide in-house advice on a range of legal matters within the business, from corporate governance, intellectual property, to employment law and litigation. Specifically, you will;

  • Have primary responsibility for all legal activities across the Group, ensuring Alter Domus always operates within the law.
  • Provide strategic advice and counsel to the Supervisory Board and the Audit and Risk Committee on potential legal and risk aspects in support of the firm's commercial objectives, including M&A, corporate events, litigations, and corporate structure.
  • Appoint and oversee relationships with external counsel for business and commercial activities, excluding employment law but including any group litigation.
  • Coach, develop and mentor our senior in-house lawyers in the firm on their path to General Counsel.
  • Partner with the Alter Domus Academy to support the design and creation of compliance training to ensure all employees are fully aware of their legal and compliance responsibilities.
  • As a senior leader, you will also be responsible for driving change when necessary, delivering communications and directions to the team in supporting the development and engagement of employees at all levels.
  • Drive a culture of compliance and risk control to mitigate financial, operational and reputational risks.
  • Promote and build the Alter Domus brand and culture both internally and externally, acting as an ambassador and role model to our people, clients, and customers to embed the Alter Domus Values and to promote our Employer Value Proposition.
  • As a director of Alter Domus, you will maintain a relentless focus on cost and budget discipline, driving a culture of accountability.
  • Ensure the company maintains the highest Environmental, Sustainability and Governance (ESG) standards.


PROFILE & EXPERIENCE

With 20+ years’ experience as General Counsel and or/as a Senior Partner from a Law Firm, this role would suit someone who is seeking an appointment as part of a portfolio career or as a “third chapter” assignment. You will be a fully qualified and licenced lawyer. Ideally, you will;

  • Have a proven track record as a General Counsel or Senior Partner with deep and broad experience of providing companies with legal advice on commercial and market transactions, including M&A, capital raising, corporate/change of control activities and helping companies on the path to an IPO.
  • Possess a deep understanding on the listing rules and requirements on listed companies from a legal and governance perspective with an ability to lead the internal company secretary agenda.
  • Be experienced in working with founder-led and/or private equity owned companies on a fast growth trajectory
  • Have an intellectual curiosity and a global mind-set, allowing you to partner effectively across your region and beyond with agility and flexibility.
  • Possess strong interpersonal skills – influencing and building trust quickly, navigating complexity and ambiguity with confidence and negotiating with tenacity and focus.
  • Be decisive and persuasive to achieve the results and adept at engaging with C-level executives and high-profile clients to provide constructive challenge underpinned by the law.
  • Be comfortable operating at all levels with confidence and political sensitivity.
  • Demonstrate a strong commitment to high integrity and ethics.
