Real Estate Finance Paralegal

Are you ready to join a prestigious US firm with a top-ranked real estate finance practice? They are seeking a dynamic and motivated Real Estate Finance Paralegal to join their London team on an initial 12-month FTC. The firm excels in mergers and acquisitions, portfolio sales, financings, and restructurings, advising leading institutional real estate investors and private equity fund managers on high-profile transactions.


Your Duties & Responsibilities:

Joining their busy, high-performing team, you will provide essential transactional support, including deal execution, fund-level matters, and administrative tasks:


  • Review and draft commercial and transactional documentation (PMA, AMA, REOC letters, corporate authorities, fee letters, etc.) and submit Companies House filings (SH01, AP01s, MR04s, Stock Transfer Forms, etc.).
  • Assist in drafting and satisfying conditions precedent (CPs) for pre-closing of deals and conditions subsequent (CSs) for post-closing.
  • Create and distribute transaction bibles post-closing.
  • Prepare and monitor VDR processes.
  • Coordinate communication executions with overseas jurisdictions.
  • Draft and assist in summarizing key terms for financings.
  • Perform signature block checks for investing funds.
  • Liaise with HMLR, local counsel, and external counsel, including financial institutions.


What do you need?

  • Law degree or equivalent qualification.
  • At least 6 months of hands-on real estate finance paralegal experience, ideally from an international firm/team.
  • More general Finance and Banking paralegals are also encouraged to apply.
  • Flexibility to work overtime as needed to meet client and deal requirements.
