Job Description:

What's in it for you?
We're looking for an Assistant Company Secretary to work within the Company Secretariat team.

The role will involve managing a growing portfolio of companies operating in the fibre sector within the Octopus Inheritance Tax Service (OITS) portfolio.

The role will provide a varied exposure to all aspects of a company's lifecycle and may be of particular interest to those who enjoy providing valued governance support to boards.

The role may also include other work across the wider OITS portfolio and working with different members of the CoSec team as needed.


The role offers you the opportunity to gain knowledge and develop your expertise in the fast-growing fibre space, working with some of the industry's most exciting and developing businesses.

You will have levels of autonomy in this role giving you a real sense of ownership and first-hand experience of seeing businesses grow.


The team:


The Company Secretariat team sits within the Octopus Investments division of Octopus and provides corporate compliance and governance services to Octopus group companies and Octopus managed funds.

The team look after a variety of companies ranging from listed VCTs, FCA regulated entities, LLPs etc.

that invests in renewable energy, fibre networks, healthcare, property and are exposed to a wide range of activities undertaken in these entities.


What will you be doing?

  • Providing support to 4 boards (24 meetings a year), with tasks that include drafting meeting agendas and company secretary reports, preparing and publishing board papers, minute taking at meetings and advising the boards and investment management team on corporate governance matters
  • Completing statutory compliance that includes annual report and accounts review and filings, Companies House filings, updating Diligent Entities and statutory registers with company changes
  • Assisting with wider Cosec ad hoc group restructures, strike offs and projects and other team tasks that could include KYC requests and general administrative work

Qualifications:

Ideally, you'll have:

ICSA qualified

Experience working in a Company Secretariat team, running and setting up board meetings and taking minutes to a high level of proficiency

Experience supporting corporate transaction work such as M&A's and group restructures would be beneficial

Passion for what you do with an aptitude to learn more and being bold in suggesting ideas and suggestions that will make a difference
