Introduction to the role

The Lloyd's Market Association (LMA) has a vacancy for a part-time Company Secretary, within its Legal and Regulatory team, reporting to the Legal Director and working closely with the CEO of the LMA.

The role has become available due to the forthcoming retirement of the current Head of Regulatory Affairs/Company Secretary.

The main Board meets nine times annually, there are two additional Committees, meeting six times per year collectively, with ad-hoc meetings called as required

It is anticipated that for each meeting, half a day is required for attendance, alongside one day for preparation and a further day for the production of the formal minutes.

We are open to discussion around working patterns and the configuration of the working week. Applicants will need to be prepared to make themselves available flexibly, and with regular frequency, throughout the year.

Introduction to the Lloyd's Market Association

The Lloyd's Market Association (LMA) exists at the very heart of Lloyd's, a world-leading global marketplace for complex risk where solutions to challenges are delivered every day. All 55 Lloyd's managing agencies, with a total market stamp capacity of approximately £52.6bn in 2024, and all Lloyd's members' agents, are members of the LMA.

Job Purpose

To provide part-time Company Secretarial support to the LMA.

Key Accountabilities

  • Board support: Including the production of agendas and packs.
  • Minute taking: Minutes are formal and are reviewed by the Legal Director and CEO (who may ask for further reviews), prior to being sent to the Chair.
  • Director induction: New Board members are contacted by the Company Secretary to ascertain the information required for Companies House registration and are sent the last three Board packs, plus an induction pack. All new Board members receive a 1-hour induction session with the Company Secretary to talk through the induction pack and answer any queries.
  • Companies House filings.
  • An annual Board Effectiveness Review: In accordance with the Board Terms of Reference, a Board Effectiveness Review will be performed on an annual basis. The review is survey-based and uses Microsoft Forms.
  • Updating the LMA Risk Register:
    • The LMA Risk Register has been constructed using a typical RAG approach derived from the product of "severity" and "expected frequency".
    • Risk owners are members of the Leadership team and the Company Secretary.
    • The Register is reviewed on a quarterly basis (January, April, July and October) and presented to a Committee on an annual basis in May. Prior to Committee submission, it is presented to the LMA Leadership Team for holistic review.

Person Specification

Education and Qualifications

The role would suit individuals who are professionally qualified, or qualified by experience, in the Company Secretarial field. ICSA qualification is desirable, however not a prerequisite.

General skills/Qualities

  • Highly proficient in accurate formal minute taking.
  • Efficient and organised.
  • Demonstrates keen attention to detail, with good drafting skills.
  • Enjoys external engagement, bringing effective communication and relationship building skills.
  • An ability to understand and assimilate technical information.

Experience

  • Demonstrable Company Secretarial experience, ideally gained in an insurance company or Lloyd's syndicate/Managing Agent or an organisation dealing with such.
  • Track record in running a Board.
  • Familiarity with the terminology and language used within the specialty insurance sector is highly desirable.
