You will also be involved in implementing legal strategy and the roll out of Group polices across the Group’s four divisions (John Crane, Smiths Detection, Smiths Interconnect and Flex-Tek).



Responsibilities:


The below is a non-exhaustive list but responsibilities will include:


M&A:


  • Ensuring consistency and excellence in the execution of M&A projects in line with the established Group M&A policy (the corporate governance framework within which M&A projects are undertaken).
  • Helping to drive forward the M&A agenda through strong management of deals and executing effectively to tight deadlines.
  • Interfacing with stakeholders and providing reassurance that all M&A is being executed effectively and with appropriate risk management.
  • Interfacing with the Smiths Group divisions to coordinate legal due diligence, resolve issues and ensuring there is a consistent and coordinated approach to due diligence and M&A in general.
  • Identifying transactional risks and providing commercial solutions.
  • Providing legal support and coordination on the structuring and execution of transactions, including merger control aspects.
  • Advising on and/or negotiating transactional documents, including NDAs, exclusivity agreements and sale & purchase agreements.
  • Improving and developing internal know how, process and capabilities.
  • Ensuring adherence to the highest standards of compliance in order to build and protect Smiths’ reputation.



Corporate:


  • Providing legal support and coordination across all Group functions (e.g. Co Sec, HR, Tax, Treasury, Insurance, Pensions and Finance), including supporting on general listed company matters.
  • Advising on and negotiating commercial contracts.
  • Playing a key role in supporting the Group’s policies and procedures (including GDPR and AI).
  • Helping to drive Group Legals operational excellence and continuous improvement (including Lean Six Sigma initiatives).



General:


  • Managing external legal spend.
  • Conducting Group-wide training on key legal matters.
  • Improving and developing internal know how, process and capabilities.
  • Working both autonomously and with internal legal colleagues, stakeholders and external counsel.



Technical Knowledge and Skills:


  • UK or US qualified.
  • A strong private practice and/or in-house background, and a minimum of 3 years' post-qualification corporate experience (in-house experience is desirable but not essential).
  • Familiarity with M&A transactions is essential. Familiarity with US M&A transactions is desirable but not essential.
  • Ability and confidence to deal with a broad range of personnel, including senior executives, within the business.
  • Experience of when to look to external counsel and of managing these relationships: maintaining strong control on the legal budget.
  • Interest in new technologies and innovative processes that drive efficiencies across the legal function.
