KEY ACCOUNTABILITIES / ROLE PURPOSE

The position reports into the Head of Legal and Compliance and will primarily be responsible for the drafting and review of framework agreements, public sector customer and supplier commercial documents to identify issues and risks as compared to our templates, with support from the external Legal Counsel where necessary. You will respond to legal issues from within the business. You will co-ordinate onboarding activity, including facilitating the timely signing of contracts by relevant parties, filing/tagging the contracts, updating the relevant database. You will work closely with various teams within the company as well as within the Legal and Compliance team and the external Legal Counsel.


MAIN DUTIES AND RESPONSIBILITIES

Identifying contractual risks and potential risk mitigations in relation to the public sector frameworks, including presentation to and discussion with key stakeholders.

Recording contractual risks and potential risk mitigations (including IP, GDPR/DP, liability) through management of contractual risk register/database.

Development of the Legal Playbook in relation to public sector frameworks and communication of updates to internal teams to ensure compliance.

Working within the business to develop system led governance of the Legal Playbook and the business’ risk position.

Review of legal documents (including Frameworks, General Terms, Statements of Work) as required, based on the Legal Playbook in place.

Periodic review of Ultima’s template documents for both customers and suppliers in relation to the frameworks.

Working alongside various other departments to provide support on legal matters (contract management, documentation and clause queries).

Liaising with the external Legal Counsel on more complex legal points.

Providing support to the business and the Legal Team when appropriate by having knowledge of and updating the contract databases so that Ultima’s contracts contain the flow up or down of appropriate legal provisions, where possible.

Assisting the compliance, bid team and other teams with relevant and auditable responses to sections of bids / proposals / questionnaires / risk assessment activities.

Communicating articulately between internal and external stakeholders.

Periodic update of the Legal Playbook.


ESSENTIAL KNOWLEDGE, SKILLS & EXPERIENCE


Solid experience within a public sector team working within commercial or legal in a technology business, to ensure understanding of public sector, IT business needs and the associated risks, coupled with an indepth understanding of the public sector framework process.

Experience of identifying and managing public sector contractual and legal risks.


DESIRED KNOWLEDGE, SKILLS & EXPERIENCE

Good knowledge of Microsoft Office, including Excel.

Experience of direct liaison with customer’s legal teams and contract negotiation.
