About the Role


  • Conduct comprehensive due diligence investigations for both inbound and outbound transactions to meticulously identify and evaluate legal risks associated with potential mergers or acquisitions.
  • Draft, review, and refine all necessary legal documents and contracts, including acquisition agreements, merger agreements, joint venture agreements, and other related legal documents to ensure clarity and legal soundness.
  • Lead and facilitate negotiations, strategically advocating for the client's best interests while working towards favorable terms in both domestic and international M&A deals.
  • Ensure compliance with all applicable local and international laws and regulations affecting mergers and acquisitions, including securities regulations and corporate governance standards.
  • Coordinate with financial advisors, accountants, and other professionals to analyze transaction implications and structure deals that optimize financial and operational outcomes.
  • Provide strategic legal advice to clients on the structuring of transactions, considering tax implications, financing methods, and corporate strategy in both Japanese and global contexts.
  • Manage communication and documentation flows between all parties involved in M&A transactions, ensuring transparency and adherence to deadlines and legal requirements.
  • Facilitate the integration process post-acquisition, advising on legal matters related to the merger of operations, assets, and personnel.
  • Represent the client in any litigation or legal disputes that arise during or after the M&A process, including defending the legality of transactions and resolving conflicts between merging entities.
  • Stay updated on changes in M&A law and practice, continuously refining legal strategies and advice to align with current market conditions and legal frameworks in Japan and internationally.


About the Ideal Candidate


  • 2 PQE+ Common Law Qualified Lawyers with substantial M&A experience
  • Applicants should be qualified in a common law jurisdiction, leveraging their expertise in international legal frameworks.
  • Fluency in Japanese is not required, though a passion for Japanese culture is highly valued and considered a plus.
  • Candidates must be enthusiastic about living and working in Japan, showing a commitment to fully engage with both the professional and cultural aspects of life here.
  • Adaptability to quickly adjust to changes and solve problems in fast-paced transaction environments.
  • Keen attention to detail is crucial for accurately drafting and reviewing complex documents and ensuring compliance with varying regulations.
  • Excellent verbal and written communication skills for clear negotiations and effective collaboration with clients, colleagues, and other stakeholders.
  • A strong appreciation for and understanding of different cultures, especially Japanese culture, enhancing the ability to conduct business respectfully and effectively in a global setting.
