We are a boutique M&A and Transformation Consultancy based in London. Our team works with range of global clients in Life sciences, consumer products and infrastructure sectors. To support our growth plans, we are looking for an experienced M&A Manager to lead Carve-outs and Integrations from planning through to implementation.


Joining our team will provide you with invaluable exposure across a broad range of M&A deals, from small asset sales to large-cap public listed separations. You will have the opportunity to shape and build our Transactions Practice by designing and executing integration, separation, divestment, and carve-out deals for our clients.


Responsibilities

  • Conduct operational due diligence, assess stand-alone costs, separation complexity and understand value.
  • Assist in evaluating deals from an operational standpoint with a strong link to financials.
  • Evaluate the pre-deal carve-out situation, including definition of the perimeter, carve-out complexity, cost, & risks.
  • Understand the current state and design a future state of the organization including run costs, expected synergies, benefits and cost savings.
  • Lead on Day 100 planning, setting milestones for achieving objectives. Execute the separation, divestment, or carve-out processes within a 100-day timeline.
  • Prepare for Day One readiness, including personnel and operational considerations.
  • Lead post-deal implementation of a carve-out, including preparation for Day one, TSA management, TSA exit planning, and transition to the standalone.
  • Research and recommend solutions regarding separation issues that span multiple functions bringing forward business and industry insights.
  • Take ownership of the content, quality, and delivery of all work products.
  • Ensure the engagement/project is delivered by the right team (clear definition and alignment on roles and responsibilities), to the highest standard and to budget.
  • Establish strong relationships with the client and act as an advisor to them, tailoring advice to their unique circumstances.
  • Support continuous development of our propositions, make pitches and support sell new engagements.

Hybrid working (2-3 days/week in office); may require international travel. Applications close on June 10, 2024


Qualifications

  • Bachelor’s degree from an accredited university
  • Extensive knowledge of delivering buy-side and sell-side Carve-out services.
  • Extensive experience and understanding of the private equity lifecycle.
  • Track record of successfully delivering transformational assignments at pre and post deal
  • Strong analytical skills with the ability to conduct operational due diligence and create financial models.
  • Lead complex operational and financial problems including implementing cost reductions and operational improvements with understanding of PMO tools and methodologies.
  • Ability to work effectively in a fast-paced, dynamic environment with tight deadlines.
  • Strong communication skills, with the ability to collaborate across all organisational levels and influence senior level stakeholders and effective presentations skills.
  • Flexibility to travel
