Blair West are supporting Technology Services Group (TSG) with the appointment of a Head of Mergers & Acquisitions (M&A), following the recent MBO, backed by Pictet Alternative Advisors. The Head of M&A will lead the company’s M&A strategy, overseeing the identification, evaluation, negotiation, and execution of mergers, acquisitions, and strategic investments.
This role requires a strategic thinker with deep expertise in financial analysis, deal structuring, and integration planning. The successful candidate will work closely with senior leadership to drive growth and enhance the company’s competitive positioning through strategic transactions.
The opportunity:
- Develop and implement the company’s M&A strategy.
- Identify potential acquisition targets and strategic investment opportunities.
- Conduct market analysis to identify trends and opportunities for inorganic growth.
- Conduct thorough due diligence, including financial analysis, risk assessment, and valuation.
- Coordinate with external advisors and consultants to support due diligence efforts.
- Working with CFO to establish and secure sources of transaction funding.
- Ensure compliance with existing financing facilities.
- Preparation of financial modelling to support the proposed transaction.
- Lead negotiation of deal terms, structure, and pricing.
- Oversee the preparation and review of transaction documents.
- Ensure compliance with regulatory requirements and corporate policies.
- Develop comprehensive integration plans to ensure smooth transition and realisation of synergies.
- Coordinate with functional leaders to implement integration activities.
- Monitor post-transaction performance and address any issues that arise during integration.
- Communicate M&A strategy and transaction progress to senior leadership and the board of directors.
- Build and maintain relationships with external advisors and other stakeholders.
- Manage internal and external communications related to M&A activities.
You'll be the ideal candidate for this position if you're:
- ACA, ACCA or CIMA qualified with relative experience in financial planning, analysis, and management.
- Experienced within a corporate finance environment, with an understanding of auditing and wider finance management.
- Experienced in completing the full cycle within Mergers and Acquisitions.
- Experienced working within a private equity environment would be preferred
- Able to adapt to, embrace and lead change.
- Professional and have a calm approach with the ability to meet role demands, presenting at board level with credibility.
- Results orientated, with the ability to make well thought out decisions.
