**Our Current Financial Regulation Team**

Our current team of financial services regulatory lawyers provides regulatory advice to financial institutions and other businesses including banks, investment managers, building societies, life and non-life insurance companies, trading platforms, stockbrokers,corporate financiers, intermediaries (including networks), payment services firms, specialist lenders custodians, and pension houses.

The Financial Regulation lawyers include partners Elizabeth Budd, Andrew Barber and David Heffron. Pinsent Masons has a strong sector focus with Financial Services being one of our 5 global sectors. The Financial Regulation team is seen as fundamental toour efforts to continue to grow and develop our sector offering.

RIF brings together specialist practitioners in insurance, wealth and investment management, funds and banking products, as well as financial regulation. This ensures a close working relationship with other specialists in the Financial Services sector andmaximizes cross selling opportunities with colleagues based in Edinburgh, Glasgow, Dublin, Frankfurt, Luxembourg and Dubai.

**Work highlights**:

- Advised NatWest on the sale of the private client wealth business Adam Investment Management to Canaccord and subsequent transfer of the private client banking business to Coutts & Co.
- Advised a specialist consumer credit lender on breaches of the Consumer Credit Act 1974 and support on undertaking an extensive remediation exercise.
- Advising Post Office on its Banking Framework Agreement with a range of banks and electronic money institutions that allow customers to deposit and withdraw cash over the counter in Post Office branches.
- Advising NatWest on its contracts for indirect access to payment systems and confirmation of payee.
- Advising Tesco Bank on the development of its ClubCard Pay+ proposition.
- Advising a publicly listed payment service provider on a range of acquisitions.

**Basic requirements**
- a detailed knowledge of the Consumer Credit Act 1974, secondary legislation, the FCA’s rules in the Consumer Credit sourcebook and relevant industry guidance;
- the Payment Services Regulations 2017 and the Electronic Money Regulations 2011;
- cryptoassets, stablecoins and the use of distributed ledger technology in payments;
- the regime under the Financial Services and Markets Act 2000for regulated mortgage contracts;
- whether our clients are carrying on regulated activities in the UK or internationally;
- how our clients can become authorised and deal with changes to their regulatory position;
- how our clients can communicate financial promotions and distribute products and services;
- dealing with regulatory change, for example the Consumer Duty, changes to the FCA rules for appointed representatives and HMT’s reforms of the regulatory environment for buy-now pay-later providers;
- the interpretation of the FCA and PRA's rules (including the various Conduct of Business rulebooks; Supervision; Senior Management Arrangements, Systems & Controls; Capital requirements; and Client Money and Custody rules);
- the acquisition or disposal of FCA/PRA regulated firms and the scope of the controllers regime;
- drafting terms of business for consumer credit and payment products and services;
- supporting contentious regulatory colleagues in relation to regulatory investigations.
