**Job Purpose**:
***Responsibility for ensuring commercially focused advice spanning across the whole of ODEON Cinemas Group (OCG) related to legal, compliance and governance issues. As a senior member of the Legal and Compliance function, it is critical to maintain exceptional relationships with the Territory Heads of Legal, business colleagues and proactively enhance the Group function as a whole.

**Key Accountabilities**:

- As a leader within the Group’s legal, compliance and governance function, you will develop the function’s capabilities and liaise with, and proactively support, business functions and territory teams on a variety of existing and new projects.
- You will be required to lead and or support Group wide initiatives as the need arises and promote the vision of the legal function to be one team. You will therefore be comfortable acting as a role model for the OCG legal and compliance team, encouraging collaboration across the Group and within the Territories.
- There will be a wide-range of legal issues to cover, including: enhancing the corporate governance and structure of the Group and its legal entities; supporting financing opportunities and tax structuring needs; supporting any M&A activity; negotiation of general commercial contracts; supporting the commercial and marketing teams with their promotional activity; perform pre-litigation work to minimise risks; develop and deliver training initiatives across a broad range of contractual and compliance activities; and deliver general business compliance requirements.
- You will have responsibility to build strong and cost effective relationships with our external counsel although only using them when/where appropriate and do so within budget.
- A key focus will be to continue the development of better ways of working to improve efficiency/standardisation of approach across your Territory and the Group.

**Key Skills**:

- Significant experience as a senior in-house commercial lawyer with preference to having a retail or leisure background and exposure to consumer related issues.
- Exposure to corporate, corporate secretarial and governance matters.
- Ability to juggle priorities effectively whilst being able to take a step back and plot realistic timescales, manage stakeholder expectations and be able to take a commercial and pragmatic approach to risk.
- Strong leadership skills with the resilience to deliver in a new and changing environment whilst supporting and nurturing team members
- Exposure to working across multiple jurisdictions and cultures
