The Cleveland Office is seeking a full time Staff Attorney to join its Private Equity Group. The ideal candidate will have a minimum of 2 years substantial corporate experience, which would include, among other things, drafting, reviewing and revising various corporate documents and creating and maintaining structure charts, board presentations, equity ledgers and capitalization tables. In addition, the candidate would interact with corporate service providers and would prepare and file various regulatory and compliance forms, including annual reports, Form SS-4 to obtain EIN, foreign qualification and withdrawal applications, certificates of merger and other statutory filings. The candidate would assist the Private Equity team with various transaction-related documentation, provide direct support to clients, develop practice area expertise, and participate in professional development training sessions. Additionally, the candidate should have strong academic credentials, attention to detail, excellent time management, organizational skills, ability to work under pressure, to prioritize and to meet deadlines. This is a team-oriented position. The candidate must be able to take ownership of and complete tasks without step-by-step supervision. Candidate should be a member in good standing of the Ohio bar.
