Trainee Company Secretarial Assistant

To support the Company Secretariat team in delivering high quality corporate governance compliance and administration. Rentokil will support you to study for your Chartered Governance Qualifying Programme qualification.
This interesting and varied role, reporting to the Senior Assistant Company Secretary, will involve assisting the other members of the team in the provision of a wide range of company secretarial matters and compliance services across the Group portfolio of companies as well as undertaking general administrative duties. Working as part of a small team you will help ensure that the Group’s businesses are compliant with best practice and statutory requirements.
**Key Duties and Responsibilities**
- Assist in the provision of a full company secretarial administration service to the Group’s UK subsidiaries, such as drafting director and shareholder minutes.
- The drafting and submission of forms (electronically and in hard copy) to the Registrar of Companies.
- Assisting the Company Secretariat team with maintaining company records including maintaining statutory registers on the Group’s worldwide database of subsidiary companies (Diligent Entities),liaising with overseas subsidiaries and professional advisers as required.
- Assist in maintaining and producing the Group corporate chart.
- Arranging internal and external meetings, liaising with attendees, both internal and external, and setting up calendar invitations.
- Assisting with preparation and distribution of agendas and meeting papers.
- Assist in the preparation of the annual General Meeting packs and event planning as required.
- Support the Company Secretarial Assistant in the management of the UK statutory accounts approval/filing processes and liaison with external auditors and finance teams including the preparation of relevant paperwork and minutes.
- Assist in the maintenance of confidential and insider project lists and processes.
- Supporting the team with ad hoc projects including corporate restructurings, incorporations, strike offs and liquidations as required.
- Support in the management of the signing process of documents, assisting with signing authorisations, legalisation and notarisation processes, and liaising with external counsel as required.
- Raising purchase orders, processing invoices and recharging costs.
- Respond to company secretarial information requests from other departments, shareholders and external third parties.
What you need to succeed:
- Experience of working in another large company and within a confidential environment would be an advantage.
- Excellent written/verbal communication skills with a high level of attention to detail.
- Good computer skills; proficient in Microsoft Word and Excel.
- Highly organised with a “can-do” approach with ability to work to deadlines and under pressure from multiple tasks.
- Excellent attention to detail, flexible and dependable, with the ability to take the initiative if required.
- Able to work well as a team member and build rapport and trust with both internal and external stakeholders.
- Must possess a high level of integrity, discretion and professionalism.
- Able to demonstrate values of service, relationships, teamwork and responsibility.
