- Purpose of the role:_

To provide a comprehensive corporate administration and company secretarial service, ensuring compliance with relevant company law, regulation and internal legal entity standards, to State Street’s three Jersey incorporated companies, of which two are regulated Fund Services Businesses.

In addition, to provide company secretarial and fund administration support to corporate fund structures administered by State Street’s fund services business in Jersey.
- Specific Duties:_
- Ensuring compliance with relevant statutory and regulatory requirements, including Companies (Jersey) Law 1991 and the Fund Services Business Code of Practice.
- Ensuring all statutory returns, filings and notifications are made with the Regulator or Registrar at the appropriate time.
- Ensuring adherence to corporate governance best practice.
- Organising and attending board and shareholder meetings.
- Preparation of board meeting agendas and board packs.
- Preparation of draft minutes and written resolutions.
- Maintain company registers and statutory files.
- Ownership of Company Secretarial policies and procedures.
- Support company secretarial and administration activities provided to client corporate entities, including but not limited to those duties listed above.
- Being an authorised signatory for State Street entities.
- Specific Qualifications/_
- Skills:_
- A corporate administrator with a working knowledge of Jersey companies law, regulation and associated statutory requirements and company secretarial principles and best practice.
- Good level of understanding of key principles of corporate governance.
- Ability to proactively identify, investigate, action and escalate material issues, whether they be of an operational or technical nature.
- Good minute writing skills and understanding of minute writing techniques.
- Qualified in or studying towards the Chartered Governance Qualifying Programme would be advantageous but not essential
- Knowledge of and/or prior experience working in fund administration is preferred but not essential.
- Expectation of a minimum of five years’ experience in a company secretarial or investment fund related environment.
- Good communication skills and an ability to provide a customer focused approach.
- Attention to detail while retaining efficiency and effectiveness.
- Ability to work independently with little supervision.
- The role will see the incumbent take full responsibility for the day-to-day administration of State Street’s three Jersey incorporated entities therefore the role holder should be able to take high levels of ownership and to take responsibility for ensuring that issues are tackled proactively and resolved.
- Strong organizational and time management skills.
- Ability to prioritise and work on own initiative and as part of a team.
