**Job Title**:Company Secretary
**Temporary**:Expected to last until 3 months with possible extension.
**Location**: Gillingham, Kent
**Band**: 8c
**Pay Rate**:
£32.50 to £35.50 paye per hour
£36.50 to £38.50 paye inclusive of holiday pay per hour
£39.50 - £42.50 umbrella pr hour
All rates depending on skills, experience and qualifications
**Hours**:37.5 Hours per week
**Job Purpose**
- The role of the Company Secretary is pivotal within the Trust.
- The post holder will be responsible for the Trust-wide corporate governance systems and processes and be the key individual to ensure the Trust is safe and effective in the delivery of its business.
- The post holder will take responsibility for the development of a continuous cycle of improvement in good governance, working with the Executives and Non-Executives as a critical friend, developing reporting and assurance processes and helping the Trustto better develop its risk profile.
- The post holder will attend the Executive Management Team, actively contributing to the management of the Trust and will attend board and executive meetings but will not be a voting member of the board of directors.
- The post holder will act as principal adviser to the Chief Executive and the Executive and Non-Executive Directors of the Trust on all issues relating to corporate governance. They will develop strong working relationships with external partner organisationson their behalf.
**Key Responsibilities**
- The following list includes both those duties which are legal obligations as well as those which result from best practice. This is not a comprehensive list, and the Company Secretary will also need to refer to other pertinent legislation and regulation.
- Establishing and maintaining systems and processes that ensure good integrated governance of the Trust.
- Leading on all corporate governance matters.
- Assuring the Board that the Foundation Trust complies with all relevant legislation and the licensing requirements issued by the Regulator.
- Advising the Board on developments in governance and other issues.
**Qualifications**
- Further evidence of; management/leadership training with demonstrable record of continuous professional development.
- Membership of ICSA or equivalent.
**Knowledge**
- Good theoretical and practical knowledge of all relevant policy areas and sound knowledge of current Health Policy Knowledge and experience of NHS regulatory frameworks - CQC, NHS Improvement Foundation Trust governance framework.
- Extensive knowledge of board and committee processes and meetings governance.
- Significant additional training in relevant technical and professional matters, e.g. Data Protection, Freedom of Information, European Human Rights Law, etc.
**Experience**
- Demonstrates experience of working at a suitably senior corporate level in the NHS.
- Strong people management experience, and ability to deliver personally, and ensure cascading of appraisal, supervision, staff support and attendance management.
- Change management experience related to planning and delivery of work with front line staff, users/carers, and the public.
- Extremely well-organised and able to produce forward plans and consistently meet timetables.
- Demonstrates competence and success in corporate policymaking.
- Demonstrates experience and competence in interpretation of complex legislation and regulations.
- Demonstrates experience advising a Board of Directors on matters of governance, compliance, and best practice.
- Has experience of leading Trust-wide policy formulation in line with legislation, regulation and national policy.
