Deputy Company Secretary

**Description**:
An exciting opportunity has arisen, supporting a large healthcare organisation as a Deputy Company Secretary.
The post will be based in the South East, on an interim basis for 6 months, at a Band 7 - 8a depending on experience.
The post holder will have day-to-day responsibility for ensuring that meetings of the Board of Directors, Council of Governors (and associated Committees) and the Executive Board are run efficiently and effectively, are properly supported, and comply with their legal, fiduciary and other duties.
**Main Responsibilities**:
- Lead the effective functioning of the meetings of the Board of Directors and Council of Governors (including all associated sub-Committees);
- Take responsibility for the issuing of meeting agendas and papers;
- Act as minute taker ensuring that such meetings are fully and properly recorded;
- Ensure actions raised are followed through and completed;
- Arrange for appropriate 'meeting logistics' (e.g., room booking, refreshments, audio-visual requirements);
- Deputise for the Company Secretary in his/her absence;
- Lead several other aspects of the organisation's corporate governance and statutory compliance arrangements;
- Bribery Act compliance, particularly in respect of the declaration of conflicts of interest and the receipt of gifts and hospitality;
- Act as a central point of contact and expertise for all internal and external queries in relation to Board, sub-committee and Council of Governors meetings, Terms of Reference, and other matters;
- Provide line management to the Corporate Governance Manager;
- Lead the effective functioning of the Executive Board by taking responsibility for the issuing of meeting agendas and papers;
- Undergraduate degree, preferably in Law or equivalent work experience;
- At least 5-10 years of working as a senior manager within an NHS organisation;
- An understanding of the NHS and relevant legislation;
- Solid understanding of corporate governance issues;
- Significant experience of managing staff;
- Excellent communication skills;
- Be able to manage competing work pressures and competing priorities.
