Transaction Manager

**Job purpose**
The Transaction Manager primarily reviews all SPV transaction documentation to mitigate risk to TMF and its directors. They will also work with the Client Account Manager to ensure that all contractual obligations are fully achieved and that all transactionsare completed in a timely and efficient manner by liaising with clients, their legal advisors, trustees, account banks and other 3rd parties who are involved in the setting up, arranging and overseeing of capital markets transactions. The role forms part ofa dedicated client services team responsible for maintaining the highest corporate administration services.
**Duties and responsibilities**
- Build strong relationships with clients acting as a primary point of contact within TMF;
- Provide corporate administrative expertise and guidance in relation to capital markets transactions, acting as a point of escalation both for clients and within TMF;
- Scrutinise and comment on suites of transaction documents to mitigate risks to TMF and the SPV directors;
- Identify risk issues in relation to a capital markets transaction and ensure full compliance with local regulatory requirements and TMF policies;
- Assist with operational projects to align day to day tasks with new regulatory requirements;
- Works closely with other teams in TMF Group, including but not limited to, the Capital Markets Transaction Services team, the Entity Management team, the Accounting team and TMF Directors, in order to achieve client objectives;
- Ensure TMF meets our obligations to clients, ensuring that all tasks required to effectively close a Transaction within required timelines are completed efficiently, professionally and timeously;
- Support drafting of Corporate Services Agreements & Declarations of Trust and other TMF services documentation;
- Provide exceptional customer service whilst being decisive, firm and empathetic with customers;
- Support business development through following 'Our Service Promise’ delivery guidelines for relationship management and work to build your own and TMF’s network in the industry where you will be dealing with lawyers, tax advisors, banks, custodians, investmentmanagers and other key partners; Identify and act on opportunities for cross-selling and up-selling of TMF Services, or billing for out of scope items;
- Adhere to TMF internal procedures and ensure compliance by the team with TMF’s Risk and Control framework and processes;
- Support the Heads of Department in maintaining, reviewing and improving internal controls and policies, feeding into any updates to the Capital Markets Transactions Team’s way of working; and
- Allocate and manage the workload of the team, assigning or re-assigning clients and tasks to ensure work is delivered on time to meet transactional deadlines; and
- Where appropriate support HR initiatives taking place in the team, including preparing and delivering departmental training, assisting with the recruitment process and feeding into staff appraisals.

- Ensure all risks are identified, escalated and mitigated / limited during a Transaction;
- Act as a contact point for client matters, managing and resolving issues regarding items in your span of control, escalating issues to the Head of Department/TMF Directors;
- Maintain existing client relationships and follow 'Our Service Promise’ guidelines for relationship management;
- Use your experience to support the Head of Department/TMF Directors in maintaining, reviewing and improving internal controls and processes.
KPIs
- Highlight / escalate all exceptions to completion of activities against target timelines (based on Blue print exception report);
- For 100% of Transaction board meetings and closing documents, the Transaction Manager responsible should give approval for the Transaction Services team to proceed with the meeting and signing of documents;
- Directly co-ordinate the introduction of new Transactions each month (numbers to be confirmed and agreed in annual objectives and regularly reviewed and updated in line with the team strategy);
- 100% timely and accurate personal time writing
**Job specific requirements**
- A degree in Law, Business or a closely related field is desirable;
- Experience in a legal, compliance or company secretarial department is desired, or alternatively experience at a corporate services provider or within a capital markets function;
- Experience with structured finance and/or aircraft leasing transactions is a strong advantage;
- Resourceful, independent and strong problem-solving abilities;
- Excellent written and communication skills, with strong ability to plan ahead and organise themselves and others;
- Analytical structured mind set with ability to follow and build upon existing processes and ensure data is maintained with accuracy and consistency
- Fluency in English is essential; and
- Proficiency in MS Excel and MS Word is essential.
