**About The Role**:

- We are looking to recruit a dynamic individual who is an experienced administrator familiar with governance operating within financial services or a regulated sector.Reporting to the Company Secretary you will provide wide ranging support on company secretarial and corporate governance matters. You will ensure that our processes in this area operate effectively and in line with applicable legal requirements. You will be involved in a wide range of matters including maintaining board calendars, statutory registers, Companies House filings, subsidiary governance and preparing and organising materials for board and committee meetings. You will maintain corporate records and ensure these are updated and kept in good order. On occasion you may be asked to get involved in other legal and regulatory related projects.The role requires working with a range of stakeholders across the Society. You will engage extensively with personnel at different levels of seniority, including Executive and Non-Executive Directors, Executives and Enterprise Leaders as required to successfully carry out your role. You will also engage with key suppliers of the Society as required.**About You**:

- You will need a proven track record in supporting professional governance meetings with skills in meeting preparation, agenda compilation and the ability to build strong, productive relationships with a diverse stakeholder group. Previous experience of providing corporate governance/company secretarial support within a law firm or in house environment is desirable.YOUR KEY RESPONSIBILITIES.
- 1. Support Board and Society governance processes to ensure the Society remains compliant with legal requirements and external benchmarks.
- 2. Assist in the preparation of Board and Board-Committee papers as required and seek approvals from senior management, Executive and Non-Executive Directors as needed.
- 3. Review Board and Board-Committee minutes and the Board decision log to ensure accuracy.
- 4. Proactively manage the Secretarial Planner and assist members of the team to ensure tasks are completed in a timely manner.
- 5. Support the production and circulation of Board and Committee meeting packs.
- 6. Extensive experience using diligent board books or similar board paper management software.
- 7. Ensuring that the statutory records for the group are kept up to date - drafting and submission of forms and returns to the Registrar of Companies, assisting with AGM filings and organisation, filing FCA notifications, assisting with updating the corporate website as necessary.
- 8. Keep abreast of developments in company secretarial practice, corporate governance and best practice standards and discuss with the Society Secretary any matters that should be considered for escalation.
- 9. You will be an active member of the Secretariat Function, reliable, flexible and supportive working alongside the other members of the team to achieve team objectives.
- 10. Stakeholder management will form a key part of your role - engaging with and managing relationships with key stakeholders including Board Directors and Executive Management. You will liaise with other external counsel as required as well as key suppliers of the Society.
