At Eni , we are looking for a Corporate Affairs Coordinator within Eni CCUS Holdings in London , UK. Under the supervision of the Head of Legal, you will be responsible for providing company secretarial services to the Eni CCUS Holdings Ltd group of companies (the "Group) in the UK and the Netherlands. These services relate to coordinating the company secretarial team; secretarial services, corporate governance and compliance, support to non-Executive Directors, corporate restructuring and additional project work as required.

Main responsibilities :

  • Act as a focal point and coordinator for the Company Secretarial workstream in the Legal department including promoting training and providing general support/assistance to the Legal Team.
  • Provide core company secretarial services to the UK incorporated/managed companies of the Group, including preparing board/shareholder documentation, meeting minutes, attending meetings as required and various matters related to statutory accounts.
  • Advise on corporate governance matters for UK incorporated/managed companies of the Group including internal compliance with Corporate Governance rules (e.g., Manual of Authorities and Internal Regulatory System)
  • Act as a focal point for auditing activities (both internal and external), maintenance of statutory records and books and, where relevant, consideration of UK domiciliation/mind of management issues. Monitor changes in the relevant legislation and regulatory environment and advise internally accordingly.
  • Provide general company secretarial support in relation to the corporate restructuring activities of the Eni CCUS Holding Ltd. group of Companies (the "Group") and the wider Eni Group including liquidations, strike-offs, capital restructuring and corporate re-organisations.
  • Provide general assistance on ad-hoc matters of the Legal department and the wider Group as they arise, including work related to corporate acquisitions, reviewing constitutional documents, dissentients registers and payments into court, etc.
  • Keep all legal software systems up-to-date as required.

Skills and experience required :

  • Degree in Law (with strong academic credentials).
  • Significant experience in a company secretary role within large, complex organisations.
  • Possession of, or working towards, the ICSA or equivalent qualification.
  • Experience with Mergers & Acquisitions would be beneficial.
  • Strong knowledge of company secretarial software e.g. Blueprint or equivalent.
  • Strong communications skills, able to work effectively at all levels of an organization, including advising Boards of Directors.
  • Excellent time-management, organization and team-working skills.
  • Able to work with a high attention to detail, to tight deadlines, and with discretion.
