Corporate & Commercial Solicitor – Key Responsibilities
  • Managing a varied caseload of corporate and commercial matters, including business sales and acquisitions, corporate restructuring, commercial (advisory), shareholder and investment agreements, joint ventures, and group re-organisations.
  • Drafting and negotiating commercial contracts such as terms and conditions of business, supply, distribution, agency, partnership, and confidentiality agreements.
  • Delivering strategic legal advice to business owners, directors, SMEs, start-ups, investors, and entrepreneurs across a range of sectors.
  • Carrying out legal due diligence, risk management, and regulatory compliance in relation to corporate transactions and contracts.
  • Acting as a first point of contact for clients, providing clear, commercially focused, and solution-driven advice.
  • Collaborating with colleagues across practice areas, including employment, property, IP, and dispute resolution for cross-disciplinary matters.
  • Ensuring compliance with SRA and AML regulatory requirements, maintaining accurate records and assisting with post-completion formalities.
Essential Skills & Experience for Corporate & Commercial Law Careers
  • Minimum of two years' PQE in corporate and/or commercial law (solicitors or qualified legal executives).
  • Demonstrable experience of independently handling a mix of corporate and commercial files.
  • Strong working knowledge of the Companies Act 2006, business structures, transactional processes, and regulatory requirements in England and Wales.
  • Excellent drafting, analytical, negotiation, and problem-solving skills.
  • Pragmatic, commercial approach with a keen understanding of clients' business drivers and strategic objectives.
  • Exceptional client service skills with the ability to develop and maintain lasting professional relationships.
  • Effective communicator, both in writing and verbally, and able to present technical information clearly to a range of audiences.
  • Strong organisational skills, able to manage varied workloads and competing deadlines autonomously.
  • Proficiency in Microsoft Office and legal case management systems.
