We are seeking a Legal Counsel, M&A to join our European team, based in London. This individual will be a core member of Regent's deal team and will serve as the primary legal lead for M&A activity across Europe. The role will focus on managing and executing acquisitions, coordinating due diligence and transaction documentation, and supporting integration efforts. This position will report into Regent's Managing Partner, Europe while working closely with Regent's investment professionals and portfolio leadership.
Responsibilities
- Lead legal workstreams on European M&A transactions, including due diligence, structuring, drafting, and negotiating deal documentation.
- Serve as the primary legal point of contact for the European deal team and portfolio companies during acquisition processes.
- Manage relationships with outside counsel, including scoping, engagement, and oversight to ensure efficient and cost-effective execution.
- Partner with investment professionals on transaction strategy, risk assessment, and negotiation tactics.
- Support corporate development initiatives, including joint ventures, carve-outs, add-ons, and divestitures.
- Assist with post-acquisition integration, including corporate governance, regulatory filings, and cross-border compliance.
- Develop and implement internal processes to improve transaction execution and knowledge sharing across the Regent platform.
- Provide legal support on portfolio company initiatives, including strategic contracts, corporate governance, and restructuring activities.
- Monitor European regulatory developments that may affect Regent's investments and provide proactive guidance to internal stakeholders.
- Prepare and deliver updates to senior leadership on transaction pipelines and deal execution.
Requirements
- Law degree from a leading university and admission to practice in the UK or another major European jurisdiction.
- 4-7 years of experience in M&A at a top-tier law firm and/or in-house at a private equity firm or corporate legal department.
- Strong foundation in cross-border M&A transactions, including carve-outs and complex deal structures.
- Familiarity with European corporate governance, regulatory frameworks, and competition/antitrust considerations.
- Excellent drafting, negotiation, and communication skills.
- Highly organized, detail-oriented, and able to manage multiple transactions in a fast-paced environment.
- Commercial mindset with the ability to balance legal risk with business objectives.
- Collaborative and comfortable working across geographies and time zones.
