Role Purpose

Dot is looking to recruit an Assistant Company Secretary to support the Global Head of Risk & Sustainability in delivering a professional and broad-ranging company secretarial service across Dot. Working with a number of senior stakeholders, this role will embed good practice company secretarial services at a critical period of growth and development. The role has broad scope with a key focus on:

·       Supporting the administration and governance of the Dot Board, its committees and all Dot entity boards/committees.

·       Owning and managing the administration of Dot's entities via Diligent – including the maintenance of statutory registers, Dot entity listings, Companies House filings, and the maintenance of Dot structure charts and associated KYC requests for those entities.

·       Supporting corporate structuring activity in relation to the Group's growth strategy via transactional activity (e.g. company incorporations, director changes, etc.).

Key Responsibilities

Board of Governance & Administration

·       Supporting all corporate governance activities in support of Dot's strategic objectives.

·       Ownership and management of agendas for the Dot Board and committees, working with chairs to set and disseminate papers via Diligent Boards.

·       Working closely with the key stakeholders on one-off/ad-hoc projects identified by Dot committees as required.

2.     Dot Entity Governance

·       Ownership and maintenance of Dot's legal entity structure via Diligent.

·       Overseeing the delivery of company secretarial services provided by 3rd party administration providers, establishing relationships and service level monitoring metrics.

·       Managing KYC/AML/CDD queries from the business / 3rd parties.

·       Managing and overseeing statutory filing obligations, director changes, company formations, etc.

·       Working with various departments to support ad-hoc company secretarial queries.

3.     Corporate Structuring

·       Forming and establishing corporate vehicles (in-line with tax advice) and administering/overseeing the administration of the same.

·       Creating and maintaining corporate structure charts and corporate & director schedules for Dot entities including the funds and joint ventures they manage.

Essential

·       Relevant company secretariat qualification (ICSA/CGI), or working towards the same.

·       Significant experience in a company secretarial or governance related role (5 years +).

·       Consistent track record of supporting directors,  boards and committees in their efficient operation in a fast-paced growing organization.

·       In-depth knowledge and experience of operating Diligent Entity management software.

·       Outstanding organizational and stakeholder engagement skills with a track record of strong communication at all levels - working with and building relationships at director level and with external stakeholders and business partners.

·       Strong knowledge of company secretarial requirements and a working knowledge of relevant company law matters.

·       Proven record of collaborating with colleagues across geographical and functional boundaries.

·       Highly developed verbal and written communication skills, able to communicate complex material in a business-friendly format for stakeholders at varying levels.
