Board Member

Responsible to: The Board Chairperson

Responsible for: Contributing to Governance, Strategy, Leadership and sustainability of the Organisation.

Location: Meetings usually take place remotely; however, the Board aim to schedule one meeting a year face to face.

Hours: Commitment to attend 9 meetings a year, including ordinary meetings and development sessions. There is the opportunity to attend 2 additional seminar meetings and you may also have the opportunity to participate in sub-groups which may require additional time.

Notice Period: Members are re-elected on a 3 year basis.

Remuneration: Service on the Board is without remuneration, however out of pocket expenses are reimbursed in relation to board duties.

Who are Colebrook SouthWest Ltd?

We are a local charitable organisation supporting vulnerable people and communities in the Southwest for over 40 years. Our mission is

'To inspire and empower people and communities to achieve their independence and aspirations'.

Over the last 40 years we have evolved and deliver a wide range of services including

  • outreach and accommodation-based support for vulnerable people,
  • community centres and a wellbeing hub running local projects, activities and volunteering,
  • Healthwatch Devon, Plymouth and Torbay, health and social care consumer champion
  • Out of hours mental health crisis and peer support service

The members of our Board of Directors bring a wide variety of life experience and skills to the organisation. Current Board members bring legal, educational and social care experience as well as some lived experience. All members have a strong empathy for the challenges faced by vulnerable people and local communities, playing an important role in supporting the organisation to better meet the needs of those we work with.

We would particularly welcome applications from people that will help us to diversity the age and demographic of our current Board and bring some experience in areas of finance, IT, marketing, media or business development.

How you will make an impact…

  • Contribute to the strategic direction and business plan.
  • Support and advise the Chief Executive and senior management team in the day to day running of the organisation.
  • Ensure quality, compliance and sustainability, considering management information, financial reports and updates, contributing to the overall Governance in key areas.
  • Safeguard the values and reputation of the organisation.

Colebrook's Board are responsible for…

  • Understanding and supporting the vision, mission, aims and objectives, and ethos of Colebrook SW.
  • Holding a nominal share in the Organisation.
  • Acting in the best interests of Colebrook (SW) Ltd and its stakeholders at all times.
  • Upholding the principles of good governance of Voluntary Sector and Charitable Boards.
  • Attending meetings regularly and actively contributing to discussions and decision making.
  • Ensuring that all information and reports needed to make sound decisions are requested, received, read and understood.
  • Participating in tasks in addition to Board meetings, from time to time as required e.g. representing the Organisation at functions or training.
  • Keeping informed of issues which affect the Organisation and promoting Colebrook (SW) Ltd externally.
  • Safeguarding the good name, values and reputation of the Organisation.
  • Upholding Colebrook (SW) Ltd's policies and procedures and declaring conflicts of interest.
  • Ensuring that Colebrook (SW) Ltd operates in line with its aims and objectives, legal and funding requirements and is effectively managed.
  • Supporting the future planning for the Organisation including policy formation, objective setting, performance monitoring and evaluation of Colebrook.
  • Ensuring that Colebrook (SW) Ltd manages its finances and other resources prudently and efficiently.
  • Ensuring Colebrook (SW) Ltd is adequately insured.
  • Taking advice from other sources, including legal and financial advice, where necessary and where the Board does not have the required expertise.
  • Developing and implementing a system to support, monitor and evaluate the performance of the CEO.
  • Reviewing its performance and effectiveness acting in the best interests of the Organisation and its stakeholders.
  • Building positive working relationships with each other, staff, volunteers, clients and relevant stakeholders.
  • Preparation for meetings, reviewing and commenting as needed on any reports.
  • Advise and support the organisation in areas of expertise.
