Role Overview:


Our client is seeking a talented and motivated Funds Associate with 3-4 years of post-qualification experience to join their leading private funds team. This role presents an exciting opportunity to work on high-profile fundraisings and ongoing fund management for a diverse client base, including top-tier private equity, infrastructure, and real estate funds. The successful candidate will collaborate closely with a team of industry-leading partners and senior associates, providing comprehensive legal advice on all aspects of fund formation, structuring, and regulatory compliance.


Key Responsibilities:


  • Advising clients on the formation, structuring, and management of private equity, infrastructure, real estate, and credit funds.
  • Drafting and negotiating key fund documentation, including limited partnership agreements, subscription agreements, and side letters.
  • Providing legal support on fundraising activities, including advising on marketing, regulatory, and tax matters.
  • Assisting with the structuring and negotiation of co-investments, GP-led secondary transactions, and fund recapitalisations.
  • Advising on ongoing fund management issues, including investor relations, fund governance, and compliance.
  • Collaborating with other practice areas within the firm, such as tax, regulatory, and corporate, to deliver integrated legal solutions.
  • Keeping up-to-date with market trends, regulatory developments, and industry best practices to ensure clients receive cutting-edge advice.
