Corporate Governance Specialist

The Opportunity
The Openwork Partnership is seeking a highly skilled Corporate Governance Specialist to join our team. As a key member of our organization, you will play a pivotal role in delivering a robust and transparent internal governance framework, ensuring the comprehensive management of the Company Secretarial function.
Key Responsibilities:
- Manage and oversee the efficient organization and effective delivery of all meetings of Boards of Directors, Committees, and other relevant Committees of senior management within the Openwork Group.
- Identify developments in corporate governance regulations, legal and statutory responsibilities, and regulatory requirements impacting the Openwork Group and communicate them to relevant audiences.
- Provide advice to the Boards of Directors on their legal and corporate responsibilities and matters of corporate governance.
- Act as the first point of contact for Non-Executive Directors on corporate governance matters, organizing and overseeing their induction and ongoing training.
- Manage the deployment of processes to ensure compliance with the Senior Manager and Certification Regime, serving as a subject matter expert on its requirements.
- Ensure the Openwork Group maintains necessary UK statutory company records and files in a timely manner.
- Develop and maintain a Group Internal Governance Framework.
- Oversee the Openwork Group Board Conflicts of Interest Registers and update the Group Conflicts of Interest Policy.
- Take the lead in the relationship with the Group's Corporate Company Secretary, overseeing the efficient delivery of their service.
- Prepare minutes of meetings of the OHL Board and OHL Board Committees and other key subsidiary companies within the Openwork Group as required.
Requirements:
- Degree-level or equivalent business-related qualification.
- ICSA qualification desirable.
- Experience operating within a group of companies structure preferable.
- Experience working in financial services or another regulated industry.
- Experience supporting committees/boards and taking minutes.
