About the Company

An award-winning and market-leading fintech is seeking a Governance professional to develop and implement its governance frameworks, policies, and board support ahead of its Initial Public Offering (IPO).

This position is ideal for a qualified Company Secretary with experience in listed and regulated environments looking to join a growing fintech and contribute to building its governance function as it lists on the London Stock Exchange (LSE).

Key Responsibilities
  • Deliver Exceptional Governance Services: Provide first-class secretariat services to the Exco board of directors and its sub-committees.
  • Advise on Corporate Governance: Offer guidance on all aspects of corporate governance.
  • Establish Robust Governance Framework: Ensure a robust governance framework is in place, suitable for potential IPO/listing.
  • Support the General Counsel: Collaborate with the General Counsel in setting the strategic direction of the top-co Board and its committees, ensuring proactive management of the schedule of board meetings.
  • Develop Governance Processes: Develop, implement, and maintain governance processes across the business to ensure timely delivery of board and committee agendas, minutes, and action points.
  • Ensure High-Quality Information: Ensure that all material and information provided to board and committee members, and the agendas, minutes, and action points are of high quality.
  • Monitor Progress: Proactively log the progress against action points and ensure these are proactively monitored and reported.
  • Foster Strong Stakeholder Relationships: Develop and maintain strong stakeholder relationships with the CEO, Chairman, non-executive directors, and the executive leadership team.
Requirements
  • Qualified Company Secretary: An experienced and qualified company secretary with an excellent understanding of corporate law and corporate governance issues.
  • Corporate Law Expertise: Experience in applying corporate law and good governance practice at Board level and advising senior management and Board level on issues relating to corporate law and governance.
  • Excellent Organisational Skills: Excellent attention to detail and organisational skills.
  • Presentation Skills: The ability to present clear and concise materials for senior management and Board members.
  • Stakeholder Management Skills: Exceptional stakeholder management and project management skills.
  • Adaptability: A proactive attitude and ability to adapt to a fast-paced and evolving environment.
