Role Overview

Underpinning our transactions is robust but innovative legal documentation with both corporate clients and financial investors - driven by our internal legal team with support from external legal partners. We are excited to offer a unique opportunity to join the firm as a Transactional Lawyer, reporting directly to the Senior Transactional Lawyer and the Head of Legal and Structuring, and playing a key role in our small but growing Legal and Structuring team.

Key Responsibilities
  • Support the management and drafting of the documentation and legal processes for transactions (corporate and funder facing), including drafting and assisting the commercial teams in negotiating deal documentation, management of legal conditions precedent, implementation of external advice
  • Managing external advice on transactions
  • Developing and maintaining precedents of documentation including term sheets, core product corporate documentation and funder documentation
  • Supporting the development of new structures working in partnership with the commercial and product teams
  • Supporting the commercial and operation teams where required for trade execution
  • Ad hoc legal support as required in relation to business as usual corporate processes such as confidentiality agreements
Requirements
  • Indicative PQE 3-5 years, however more and less experienced candidates will be considered based on relevant experience and skills
  • Formal legal qualification and admission to practise law (preferably common law qualified)
  • The ability to draft and negotiate in Spanish, as well as English, is a preference given the firm's strong pipeline across multiple geographies
  • Trade and/or finance background with experience in contractual drafting (in particular, sets of contracts that sit together)
  • A high level of attention to detail and first-rate organisational skills
  • An enjoyment of working with a diverse, multi-disciplinary team to explore new structures, queries and issues
  • Ability to work closely with commercial colleagues to extract key information and help turn good ideas into excellent and well-run transactions
  • Curiosity is a must, along with a flexible can-do approach. The successful candidate will be someone who enjoys taking responsibility as part of a team and is always willing to ask questions

Silver Birch Finance operates a hybrid work environment: All London-based employees are expected to be in the London office on at least Monday, Wednesday and Thursday.
