Job Title: Corporate Governance Lawyer

We are seeking a highly skilled Corporate Governance Lawyer to join our team at Clifford Chance. As a key member of our Corporate practice, you will play a critical role in advising clients on corporate governance and regulatory compliance matters.

About the Role

This is an exciting opportunity to work with a leading global law firm, advising clients on a wide range of corporate governance and regulatory compliance issues. You will work closely with our Corporate Governance Director and Corporate partners to develop our listed company and corporate governance advisory practice.

Key Responsibilities
  • Advise clients on corporate governance and regulatory compliance matters, including directors' duties, board and committee governance structures, and AGM preparation and management.
  • Assist with maintaining and updating Annual Report checklists for clients and reviewing client Annual Reports, AGM notices, and aspects of Sustainability Reports and Transition Plans.
  • Provide input into our listed company and governance-related templates.
  • Assist with the preparation and delivery of training programs on public company issues, including AGM best practice and ongoing legal and regulatory obligations.
Requirements

To be successful in this role, you will have a solid background as a junior lawyer, ideally with experience advising listed public companies on legal and regulatory compliance, market disclosure, and corporate governance matters. You should have excellent technical legal skills, an outstanding academic history, and be able to demonstrate excellent document drafting skills, strong communication and analytical skills, and a high level of commercial awareness.
