About the Role

We are seeking a highly skilled Corporate Governance Specialist to join our team at TC Group. As a key member of our service line, you will be responsible for delivering exceptional company secretarial services to our clients across various sectors.

Key Responsibilities:

  • Maintaining client company statutory registers, including PSC registers, and filing annual Confirmation Statements on time.
  • Managing appointments and resignations of directors and secretaries, as well as changes to their details.
  • Handling company name changes, voluntary strike-offs, satisfaction of charges, and preparation of dividend paperwork.
  • Communicating with Companies House on behalf of clients to appeal penalties or delay strike-off action.
  • Incorporating new companies, handling share transfers, allotments, and subdivisions, and amending Articles of Association as required.
  • Providing quotes for company secretarial services to new clients and setting up internal systems, including letters of engagement and AML requirements.
  • Reporting on company filings, accuracy, and compliance, working closely with our Corporate Finance and Tax Advisory Teams.

About You

  • A minimum of 5 years' experience in accounting practice, preferably in a company secretarial role.
  • Proficiency in Microsoft Office, including Word, Excel, and PowerPoint.
  • Knowledge of Iris and the Company Secretarial module is desirable.
  • Strong understanding of company law and governance, as well as the interpretation of Articles of Association.
  • Excellent written communication skills and ability to collaborate effectively with stakeholders.
  • Organized, efficient, and detail-oriented, with a drive to deliver high-quality results.
