Job Description:
The AVP Legal Counsel (Securities) will be an integral member of our Securities Legal Team. The role involves drafting, reviewing and advising on securities-related documentation, as well as supporting the execution of such documentation following internal requirements and external regulations.
Key Responsibilities:
- Transaction Management: The candidate will manage trades, including reviewing drafts, preparing execution versions, drafting relevant documents and supporting colleagues and the London MTN desk with any queries.
- Repackaging Trades: The role involves working on repackaging trades, which includes tasks such as requesting ISINs and reviewing drafts.
- Administrative Assistance: The AVP Legal Counsel (Securities) will provide transaction-related administrative assistance as required, including arranging for documents to be signed and handling queries from other departments.
- Due Diligence: The candidate will support and coordinate the due diligence process for capital markets transactions.
- Reputational and Conduct Risk: The AVP Legal Counsel (Securities) will be responsible for the management of reputational and conduct risk, including identifying non-standard factors in transactions and escalating material issues to co-heads of Securities Legal.
- Legal Advice: The candidate will provide legal advice or support in relation to various projects and initiatives taking place in the firm at any given time, for example, cross-border licensing reviews and ESG issues.
Requirements:
- Qualifications: Qualified solicitor or equivalent qualification.
- Experience: At least 1 year of post-qualification work experience in a City Law firm or an in-house legal team with a relevant skill set.
- Languages: Strong general knowledge of English securities law and regulation, as well as a working knowledge of commercial law and an appreciation of how other legal systems operate.
- Skills: Strong communication skills, adept at establishing professional credibility at all levels within the business, with the ability to build effective working relationships with key stakeholders.
- Personal Qualities: Demonstrates confidence and is adept at negotiating and influencing others.
- Work Style: Excellent planning, organisation and coordination skills with the ability to work under pressure to tight deadlines.
- Commercial Acumen: Strong levels of business understanding and commercial acumen.
- Teamwork: Ability to work independently and as part of a team.
- Adaptability: Highly articulate and able to apply new skills effectively.
- Language: Proficiency in French would be desirable but not a requisite.
