Job Description

Senior Governance Officer

SSQ is seeking a Senior Governance Officer to join their team. This role will involve the delivery of company secretarial and governance services, including the management of corporate governance and company secretarial matters for multiple Group entities, and ensuring statutory compliance.

The ideal candidate will have 5+ years of Company Secretarial experience in Financial Services and a strong understanding of FCA, PRA and other regulatory requirements. They will also have experience working with Senior Management, the board and key Stakeholders, and be able to draft papers and take minutes of meetings.

Key Responsibilities:

  • Management of corporate governance and company secretarial matters for multiple Group entities, and ensuring statutory compliance.
  • Drafting resolutions and completing filings and annual returns with Companies House.
  • Management of certain Governance and Compliance sections of the AGM, working closely with the Group Company Secretary and other senior stakeholders on initial drafting.
  • Support the delivery of corporate governance advice to the Board, including drafting papers and taking minutes of meetings.
  • Monitor changes in corporate legislation and the financial services regulatory environment.
  • Awareness and management of Risk across the Group Secretariat.

Requirements:

  • CGI qualified/part qualified with relevant corporate governance and company secretary experience.
  • Experience working in a regulated environment with a suitable understanding of FCA, PRA and other regulatory requirements.
  • Experience working with Senior Management, the board and key Stakeholders.
  • Experience working as part of a team.
  • Knowledge of governance best practice, relevant issues, statutory requirements and regulations, including horizon scanning.
  • Strong attention to detail.
