Role Overview:

We are seeking a highly skilled Governance and Compliance Manager to join our team. This role involves providing comprehensive corporate governance, compliance, and legal assurance services to support the delivery of our business objectives.

Key Responsibilities:

  1. Support the Head of Governance and Compliance in providing expert advice and guidance on corporate governance, compliance, and legal assurance matters.
  2. Ensure compliance with regulatory requirements, including Companies House and FCA reporting.
  3. Line manage the Company Secretarial Assistant, providing guidance and support to ensure the effective delivery of company secretarial services.
  4. Provide governance and compliance advice to the board, executive, and colleagues, ensuring that all stakeholders are aware of their responsibilities and obligations.
  5. Service the Audit & Risk Committee (ARC) and manage the internal audit programme, ensuring that risks are identified and mitigated.
  6. Service other Board Committees as required, including the Treasury Committee, Evolution (SPV), and the MTVH Foundation.
  7. Provide assurance to the Executive, ARC, and Board that risk is managed at a strategic and operational level.
  8. Draft, review, and update corporate and governance policies and procedures, ensuring that they are up-to-date and compliant with regulatory requirements.
  9. Oversee compliance with legal and regulatory obligations, ensuring that reporting deadlines are met.

Requirements:

  1. Degree-level education and Chartered Governance Institute or legal qualification.
  2. Substantial experience in governance and compliance within a large, regulated sector organisation (preferably social housing).
  3. Excellent IT skills and comfortable with standard office IT packages and electronic portals.
  4. Ability to undertake management responsibilities.
