As a Strategic Commercial Counsel, you will play a critical role in supporting our strategic objectives by providing pragmatic and solutions-focused legal advice while identifying and managing risk on all legal aspects of our commercial operations.

Job Responsibilities:
  • Collaborate with Sales and Finance to finalize sales agreements, construct complex rate plans, and address ad hoc legal questions
  • Provide general legal support for employment matters, assuming principal responsibility for tracking and managing immigration matters for our worldwide workforce

Compliance & Privacy:

  • Oversight and management of general compliance matters including export, HR, and legal record keeping
  • Administer export compliance records and screening procedures, liaising with outside counsel on ad hoc compliance issues as they arise
  • Advise on relevant privacy law matters

Corporate Governance:

  • Issue and track paperwork for new stock option grants, option exercises, and send year-end tax notices
  • Understand complex capitalization structure and respond to management and stockholder requests for information

Requirements:

  • UK-qualified lawyer with at least 5-8 years PQE gained in-house or at a leading law firm
  • Extensive experience drafting, reviewing, negotiating, and advising on different types of commercial transactions, including SaaS sales, reseller, strategic partnerships, consulting partnerships, licensing agreements, and statements of work
  • Able to do some domestic and international travel for the company (1-3 times per year)

We offer a competitive salary range of $120,000 - $180,000 depending on experience, along with a comprehensive benefits package, including health insurance, retirement plan, and generous paid time off.
