Job Summary


The Corporate Governance Lead - Assistant Corporate Secretary will act as a key liaison between T. Rowe Price Group, Inc. and its EMEA domiciled subsidiaries, focusing on corporate governance, compliance, and board of director matters.



About the Role

  • Plan, hold, and record board and committee meetings, ensuring timely submission of supporting documents and presentations.
  • Coordinate information flow to directors, executive officers, and departments for effective board-related communications.
  • Maintain official records, including board minutes, resolutions, bylaws, and charters, ensuring regulatory compliance.
  • Support the production of corporate records for litigation, regulatory inquiries, or financial audits.
  • Prepare compliance filings to maintain business qualifications in various jurisdictions.
  • Participate in ad-hoc projects as needed.


Requirements

  • 5+ years of experience in a similar role within Financial Services.
  • Highly organized and process-driven individual with excellent analytical skills.
  • In-depth knowledge of laws and regulations regarding corporate governance and board requirements for EMEA domiciled entities.
  • Experience in arranging and managing annual general and special meetings.
  • Strong written and verbal communication skills, including the ability to draft well-written reports and board minutes.
  • Able to work effectively with team members and all levels across the organization, including executive officers.
  • Demonstrated ability to handle highly confidential and sensitive information.
  • Demonstrated commitment to expanding knowledge and adapting to new situations and changing environments.
  • Familiarity with document management systems and standard office technology.
  • Excellent English language skills.
