As a seasoned professional in the field of company secretarial services, we invite you to take on a pivotal role within our Global Legal, Compliance and Regulatory (GLCR) team at AIG. This dynamic position is centered around providing exceptional support to our boards and committees, ensuring seamless governance and compliance across our global operations.

About the Role

Based in London, you will work under the supervision of the Head of Corporate Legal & Governance EMEA & UK and collaborate closely with the AIG Governance Center of Expertise. Your primary focus will be on managing multiple boards in the UK, with additional responsibilities for European entities as required. This position demands strong communication skills, attention to detail, and the ability to work effectively at all levels within the organization.

Key Responsibilities

  • Act as Company Secretary for the companies listed above and their subsidiaries in the UK, subject to established policies and protocols.
  • Liaise with the AIG Governance Center of Expertise to ensure seamless collaboration and coordination.
  • Oversee reporting to the Boards and its committees, briefing the chairman and independent directors as necessary.
  • Draft and circulate board resolutions.
  • Conduct annual Boards and Committees effectiveness reviews, reporting results to the Boards.
  • Manage Boards and Committees meeting timetabling and agendas.
  • Ensure timely and accurate production of meeting minutes.
  • Manage Board nominations processes and oversee induction of new Board members.
  • Implement strategies to enhance the efficiency and productivity of the regulated entities' Board and Committee operations.
  • Maintain and update signing/banking authorities as required.
  • Support internal and external requests for company documents.
  • Maintain all company records.

Requirements

  • Demonstrable experience in a company secretarial role within Financial Services (at least 5 years).
  • ICSA Chartered Secretary ACIS qualification or equivalent.
  • Minute taking and resolutions drafting experience with regulated entities at board level.
  • Diligent Entities experience or equivalent company secretariat tool.
  • Knowledge of UK governance regulation.
  • Some exposure to the Lloyd's of London environment is desirable.
  • Excellent communication and writing skills, with attention to detail.
