Job Title: Corporate Associate

Job Summary:

Walsh Employment is seeking a highly skilled Corporate Associate to join our team in London. As a key member of our corporate practice, you will play a pivotal role in advising clients on strategic transactions, including mergers and acquisitions, joint ventures, and other corporate matters.

Key Responsibilities:

  • Conduct due diligence and legal research to support corporate transactions
  • Draft and negotiate definitive transaction agreements, including share purchase agreements, asset purchase agreements, and related documentation
  • Manage all aspects of strategic transactions, ensuring timely completion and adherence to regulatory requirements
  • Provide strategic advice and guidance to clients throughout the transaction process
  • Collaborate with cross-functional teams, including finance, tax, and regulatory specialists, to deliver comprehensive solutions to clients
  • Mentor and train junior associates, actively contributing to the growth and development of the corporate practice
  • Cultivate and maintain strong client relationships, demonstrating excellent client management skills
  • Stay abreast of market trends and best practices in the technology and venture capital sectors, leveraging insights to deliver value-added services to clients

Requirements:

  • UK qualified solicitor, holding or eligible for a valid Solicitors' Practicing Certificate
  • 4+ years PQE with a significant focus on M&A or other strategic transactions
  • Exceptional technical proficiency and interpersonal skills
  • Commercial acumen and a solutions-oriented mindset, with knowledge of market practices in the technology and venture capital sectors being advantageous
  • Familiarity with cross-border M&A transactions and associated legal issues is preferred but not mandatory
