We are seeking a highly skilled Governance Support Professional to join our team at M&G. The successful candidate will be responsible for providing governance support to our Board Committee and other senior boards or senior board committees, including working with the Committee Chair, agenda preparation, quality and timeliness of papers, and preparing minutes and actions in a timely fashion.

The ideal candidate will have a strong understanding of corporate governance principles and practices, with excellent interpersonal, prioritization, and stakeholder management skills. They will also have prior experience in drafting sections of a PLC Annual Report & Accounts, demonstrable experience of taking board and committee minutes and preparing resolutions and board papers, and a detailed knowledge of key governance processes and systems.

Key Responsibilities:

  • Supporting the Head of Secretariat, PLC & Governance in ensuring M&G plc's compliance with the Listing Rules, Disclosure Guidance and Transparency Rules, and the UK Corporate Governance Code.
  • Providing governance support to a M&G plc Board Committee and other senior boards or senior board committees, including working with the Committee Chair, agenda preparation, quality and timeliness of papers, and preparing minutes and actions in a timely fashion.
  • Supporting on the production and delivery of the governance sections of the M&G plc Annual Report & Accounts and supporting other functions in the production of their respective sections.
  • Ensuring developments in listed company corporate governance and best practice are monitored and tracked, and supporting the development of action plans where appropriate, and undertaking horizon scanning for future changes to governance and regulation.
  • Drafting and reviewing a range of corporate governance documents, including governance frameworks and manuals, matters reserved for boards, committee terms of reference, board effectiveness reviews, process and control documents, and board and committee papers.

Requirements:

  • Candidate should have a strong background in corporate governance, preferably with experience in a similar role within a financial institution.
  • Prior experience in drafting sections of a PLC Annual Report & Accounts.
  • Demonstrable experience of taking board and committee minutes and preparing resolutions and board papers.
  • A detailed knowledge of key governance processes and systems, such as Insider Track, Blueprint entities, and Board Portals.
