Global Governance Expert

AIG is seeking a highly skilled Global Governance Expert to join our team in London. As a key member of our Global Legal, Compliance and Regulatory (GLCR) team, you will play a critical role in ensuring the smooth functioning of our governance processes.

About the Role

As a Global Governance Expert, you will be responsible for managing multiple boards in the UK and assisting with European boards as required. You will work closely with the Head of Corporate Legal & Governance EMEA & UK and two assistant company secretaries to ensure the effective governance of our regulated entities.

Key Responsibilities

  • Act as Company Secretary for the companies listed above and smaller non-regulated subsidiaries in the UK, and assist with European entities as required
  • Liaise with the AIG Governance Center of Expertise and ensure close collaboration and coordination
  • Oversee reporting to the Boards and its committees and brief the chairman and independent directors as necessary
  • Draft and circulate board resolutions
  • Carry out the annual Boards and Committees effectiveness review and report the results to the Boards
  • Manage the Boards and Committees meeting timetabling and agendas
  • Ensure the production of timely and appropriate minutes of the relevant Board and Committee meetings
  • Manage the Board nominations processes, as required
  • Oversee and manage induction of new Board members, including tailored training program
  • Explore and implement agreed strategies for improving the efficiency and productivity of the regulated entities Board and Committee operation
  • Maintain and update signing/banking authorities, as required
  • Support requests for company documents internally and externally
  • Maintain all company records

Requirements

  • Demonstrable experience in a company secretarial role within Financial Services (at least 5 years)
  • ICSA Chartered Secretary ACIS qualified or equivalent
  • Minute taking and resolutions drafting experience with regulated entities at board level
  • Diligent Entities experience (or equivalent company secretariat tool)
  • Knowledge of UK governance regulation
  • Some exposure to the Lloyd's of London environment preferable
  • Excellent communications skills and the ability to communicate with staff and directors at all levels within the organization
  • Excellent writing skills and attention to detail
