Deputy Governance Officer

We are seeking a highly skilled and experienced Deputy Company Secretary to join our team at DiverseJobsMatter. As a key member of our Secretariat team, you will provide senior-level company secretarial support and governance advice to our Board and Executive team.
As a Deputy Company Secretary, you will be responsible for delivering proactive company secretarial services, ensuring compliance with relevant laws, regulations, and governance requirements. You will also oversee the maintenance of statutory records, filings, and compliance with the Companies Acts and other legal requirements.
Key Responsibilities:
- Support the Company Secretary in providing governance advice and guidance to the Board and Executive team.
- Deliver company secretarial services, including preparing agendas, compiling and circulating papers, taking minutes, and following up on actions.
- Assist in the preparation and coordination of Board and committee meetings.
- Provide guidance to directors on their duties and responsibilities.
- Facilitate Board and Committee Effectiveness Reviews.
- Lead the delivery of the Annual Report, determining and driving key themes, communicating key deliverables, and ensuring compliance with the UK Corporate Governance Code.
Requirements:
- Prior experience working in an in-house company secretarial team, preferably in the public sector for an Arms' Length Body organisation.
- Comfortable working with senior stakeholders, including directors and executive committee members, and external advisors.
- Strong understanding of UK company law legislation and corporate governance requirements.
- Accomplished computer skills, ideally with experience using Board Intelligence and SharePoint.
- Excellent communication and analytical skills, with the ability to minute complex discussions and draft reports.
Qualifications:
- Qualified Company Secretary (CGI/ICSA) holding Associate or Fellowship status.
