The Actuary Group is seeking a highly skilled Legal Counsel to provide comprehensive legal support to the Head of Legal and collaborate across the business on a wide range of corporate and commercial matters.

As a Legal Counsel, you will be responsible for providing legal counsel to all areas of the business, particularly Bulk Purchase Annuities. You will also support the future strategic development of various insurance lines, including assistance with the development of bulk purchase annuities/pensions de-risking business.

Key responsibilities include:

  • Providing legal counsel to all areas of the business, particularly Bulk Purchase Annuities.
  • Supporting the future strategic development of various insurance lines, including assistance with the development of bulk purchase annuities/pensions de-risking business.
  • Interpreting and presenting legal considerations and material.
  • Drafting, negotiating, reviewing, and summarizing complex legal documentation.
  • Supporting the Head of Legal in advising on and managing high-value insurance transactions, with and without support from external legal counsel.
  • Supporting the Head of Legal in managing contracts with key suppliers and third parties involved in the provision of services across the business.
  • Working closely with the Head of Legal and Company Secretary to provide support on day-to-day company legal matters.
  • Supporting effective management of relationships with any external legal counsel and those assigned to act for third parties.
  • Contributing to effective risk management of Utmost Life and Pensions from a legal perspective.
  • Maintaining up-to-date knowledge of legislative changes and industry best practice relevant to the business.
  • Maintaining competence and fitness and propriety standards to the level required by the Company's regulators.
  • Providing the Company with access to any evidence of competence, fitness, and propriety reasonably required, for example, permission to carry out DBS and credit history checks.
  • Complying with the FCA's conduct (and senior conduct) and Consumer Duty rules and the PRA's conduct (and senior manager conduct) standards.
  • Notifying the regulator(s) of matters reasonably expected to be notified.
  • Any other task or activity as may be reasonably expected within this role.

Experience and qualifications:

Mandatory:

  • Minimum two to four years' post-qualification experience as a Solicitor in private practice.
  • Good commercial, transactional, and/or advisory experience gained from working with corporate clients.

Desirable:

  • Experience working directly within and/or acting for clients operating within the financial services industry, including the life assurance or pensions sectors.
  • Experience relating to bulk purchase annuities/pensions de-risking transactions.
