About the Role

We are seeking a highly skilled and experienced Corporate Governance Assistant to join our team at Together. As an Assistant Company Secretary, you will play a crucial role in supporting the Company Secretary and other team members in implementing effective corporate governance systems and controls.

Key Responsibilities
  • Board Support: Assist with arrangements for board meetings, including the preparation of agendas, provision of timely information to board members, and preparation and circulation of minutes and actions.
  • Action Monitoring: Monitor and record progress against and closure of board and committee actions.
  • Communication: Support the Company Secretary to ensure that board and committee decisions are communicated appropriately and that there is a good flow of information between the board and board committees.
  • Director Support: Act as a source of support to all directors, especially non-executive directors, and alert the Company Secretary to any matter where the board may be in breach of corporate governance best practice.
  • Regulatory Compliance: Support the Company Secretary in their duty to inform the Group's directors of restrictions and responsibilities imposed upon them by either the Company, legislation, or any regulatory bodies.
  • Regulatory Updates: Keep up to date with changes to relevant regulation and legislation, assess the impact of changes, and inform the Company Secretary so that they can ensure any changes are communicated to the Group's directors, implemented fully, and in a timely manner.
  • Annual Report: Support the Company Secretary with the preparation of the necessary disclosures on corporate governance in the Group's Annual Report and Accounts and relevant subsidiary Accounts as required.
Requirements
  • Experience: Experience of working as part of a Co Sec team, with the ability to work with people at all levels, including C-Suite.
  • Knowledge: Working knowledge of relevant corporate governance standards, such as the UK Corporate Governance Code and Wates Principles, and good knowledge of Company Law.
  • Skills: Excellent communication and organizational skills, with the ability to work in a fast-paced environment and prioritize tasks effectively.
