Job Title: Commercial Counsel

About the Role:

Darktrace is seeking a highly motivated and experienced Commercial Counsel to join our team in London or Cambridge. As a key member of our legal team, you will play a critical role in supporting the company's growth and strategic initiatives.

Key Responsibilities:

  • Assist in preparing and facilitating the completion of commercial contracts with our growing customer base.
  • Negotiate and draft software license agreements, resale and distribution agreements, data processing, advertising, and other commercial agreements to support strategic growth.
  • Advise on legal risk and strategy.
  • Work with teams across the company, including Finance, Human Resources, and Facilities, to ensure ongoing support of company operations.
  • Conduct legal research as needed.
  • Drive progress on legal team projects and assist wherever needed.
  • Support the legal team on various projects, involving various areas of law, potentially including intellectual property, privacy, and related fields.

Requirements:

  • Post-qualified legal experience, ideally within a contracts or commercial in-house environment.
  • Relevant legal experience, with demonstrated interest in commercial transactions, privacy, data security, and technology transactions, intellectual property, and similar fields.
  • Experience drafting documents, supporting and advising teams in commercial transactions.
  • Strong work ethic, highly motivated, and able to work in a fast-paced, high-growth private company environment.
  • Meticulous attention to detail, excellent communication skills, including both oral and written.
  • Ability to produce an excellent work product on a consistent basis, while under pressure from stakeholders.
  • Comfortable interacting with all levels of the company's personnel, including management, building relationships across teams and across our offices.
