Job Description

**Corporate Transactional Lawyer - Thomson LRC**

We are seeking a highly skilled Corporate Transactional Lawyer to join our team at Thomson LRC. As a key member of our transactional team, you will be responsible for advising clients on a wide range of corporate transactions, including mergers and acquisitions, equity investments, and commercial contracts.

Key Responsibilities:

  • Draft and negotiate share purchase and business purchase agreements, investment agreements, and other equity investment documentation.
  • Conduct complex due diligence reviews and disclosure processes, and liaise with specialist teams as needed.
  • Coordinate the transaction process, including arranging and conducting completions meetings.
  • Provide general corporate counsel to clients on an ad hoc basis, including advising on board and shareholder meetings, communication with stakeholders, and restrictions on corporate actions.
  • Advise on, draft, and negotiate commercial contracts, including NDAs, supplier or customer Ts & Cs, and licence agreements.

Requirements:

  • Be a solicitor with a current practising certificate, qualified in Scots or English law.
  • Have at least 2 years' relevant experience in a general corporate or corporate transactional team.
  • Have ambition to develop in corporate transactional work.
  • Have a 'can do' attitude.
