Position Overview

The Head of Compensation and Governance will collaborate closely with the Chair of the organization, Non-Executive Directors, the Company Secretary, and the Deputy Director of Human Resources and Professional Development.

This role is responsible for guiding the committee's operations, which aims to support the workforce in fulfilling the objectives of Livewell Southwest while enhancing the connection between the Board of Directors and the employees. Utilizing specialized expertise, the Head of Compensation and Governance will engage in discussions that promote thorough, well-informed, and strategic decision-making regarding compensation and governance issues.

It is essential to uphold high standards of integrity and governance, ensuring that Livewell Southwest is recognized for its commitment to these principles. The Head of Compensation and Governance will exemplify these values through their own actions.

The Compensation and Governance Committee reports directly to the Board of Directors, which is collectively accountable for the organization's success by overseeing its operations. This includes maintaining financial stability, utilizing resources efficiently within established financial frameworks, ensuring value for money, and delivering exceptional standards of governance, ensuring compliance with all relevant health regulations.

This position does not entail directorship responsibilities; attendance at Board meetings will be infrequent and only upon the request of the Chair.

Main Responsibilities

Key Duties:

  • Oversee the committee's activities, ensuring equitable, transparent, and robust procedures are in place for all compensation and governance matters.
  • Advocate for the vision, values, and objectives of Livewell Southwest, actively contributing to the development of the organization's strategy concerning compensation.
  • Encourage the establishment of a responsive organization that is attuned to the feedback of service users and staff.
  • Collaborate closely with colleagues in a supportive and constructively critical manner, applying specialized skills, judgment, and advice.
  • Supervise the recruitment and appointment processes for the executive team and Non-Executive Directors through the committee.
  • Demonstrate agreed-upon values and standards, ensuring that Livewell Southwest's commitments to its stakeholders and the broader community are understood and balanced at all times.
  • Engage positively and collaboratively in committee discussions.
  • Ensure that the organization values diversity within its workforce and demonstrates equality of opportunity in its treatment of staff and service users across all business aspects.
  • Provide independent judgment and experience based on commercial, financial, legal, or governance expertise.

This role may not qualify for sponsorship under the Skilled Worker route; please refer to relevant government resources for eligibility information.

Experience

Essential

  • Experience chairing a Compensation or Governance Committee (or similar) in an organization of comparable size and complexity.
  • Experience in senior management within an organization with a significant budget and of similar size and complexity.
  • A proven track record of community engagement.
  • An entrepreneurial mindset with a successful reputation in their field.
  • A portfolio of high-level governance and organizational skills, including strategic planning, financial management, risk management, organizational performance management, and service delivery in a regulated environment.
  • Experience and a strong commitment to building and nurturing successful partnerships, alliances, and working relationships with various stakeholders.
  • Experience in social enterprises or third-sector organizations is desirable.
  • Some understanding of health service delivery and knowledge of community demographics and health needs is also desirable.
