Job Summary

We are seeking a highly skilled and experienced Senior Legal Counsel to join our Global Private Credit Legal Team at Barings. As a key member of the team, you will provide legal support and advice to our Private Credit business, working closely with our deal teams, portfolio managers, and external counsel to manage and mitigate legal risk.

Key Responsibilities

  • Provide day-to-day legal support to our Private Credit business, including negotiating term sheets, advising on key legal and commercial issues, and assisting with executing transactions.
  • Advise on investment management agreements and provide internal legal advice to new and existing Barings investment funds.
  • Work closely with external counsel on matters relating to the Private Credit business, including capital call or fund leverage facilities for the Barings investment funds.
  • Build relationships with and work alongside teams within the business, including Product Management, Distribution, Operations, Compliance, and Risk functions.
  • Identify and manage general corporate, tax, risk, regulatory, legal, and compliance issues, and interface with external law firms to render appropriate legal advice.
  • Manage and maintain relationships with preferred legal advisors.

Requirements

  • Qualified lawyer with 5+ years of post-qualification experience, including recent experience working in leveraged loans.
  • Experience with credit documentation, including grids, term sheets, and commitment letters, facilities agreements, intercreditor agreements, and note purchase agreements.
  • Familiarity with Loan Market Association standard documents required.
  • Familiarity with distressed credits and support for workouts and restructurings a plus.
  • Familiarity with structuring and regulatory considerations in Europe, with key jurisdictions including UK, France, Germany, Italy, Benelux, and Nordics.
  • Strong written and oral communication skills and ability to work to tight deadlines.
  • Ability to work in a team environment and willingness to collaborate and share know-how amongst colleagues.
