Private Credit Legal Counsel

Barings' Global Private Credit Team is seeking a highly motivated and experienced legal professional to join our London office.
As part of our dedicated Legal team, you will play a crucial role in supporting the success of our rapidly growing Private Assets business. You will collaborate with colleagues across Europe and Asia Pacific to provide comprehensive legal support for a wide range of private credit transactions.
Your Responsibilities:
- Provide day-to-day legal advice and guidance to European and APAC deal teams on middle market leveraged loans, capital solutions, portfolio finance, infrastructure loans, and private placement notes/bonds. This includes negotiating term sheets, advising on key legal and commercial issues, and assisting with executing transactions.
- Draft and negotiate investment management agreements for new and existing Barings investment funds (typically SICAV-SIFs, RAIFs, and limited partnerships).
- Collaborate with external counsel on matters relating to the Private Credit business, such as capital call or fund leverage facilities for Barings investment funds.
- Build strong relationships with internal business teams, including Product Management, Distribution, Operations, Compliance, and Risk functions.
- Identify and address general corporate, tax, risk, regulatory, legal, and compliance issues within the Private Credit business.
Your Qualifications:
- Qualified lawyer with 5+ years of post-qualification experience, including recent experience working in leveraged loans.
- Experience with credit documentation, including grids, term sheets, commitment letters, facilities agreements, intercreditor agreements, and note purchase agreements.
- Familiarity with Loan Market Association standard documents is required.
- Knowledge of distressed credits and support for workouts and restructurings is a plus.
- Familiarity with structuring and regulatory considerations in Europe, with key jurisdictions including the UK, France, Germany, Italy, Benelux, and Nordics.
- Excellent organizational skills and the ability to manage competing workloads of diverse matters in a timely manner.
- Strong written and oral communication skills.
- A team player with a willingness to collaborate and share know-how amongst colleagues.
