We are seeking a highly skilled Governance Manager to join our team at The Institution of Engineering & Technology. As a key member of our organization, you will play a vital role in ensuring the effective governance of our charity and membership organization.
Key Responsibilities- Provide expert governance advice and guidance to the Board of Trustees, ensuring compliance with relevant legislation and best practice.
- Oversee compliance with the Companies Act, Charities Act, and internal KPIs, ensuring that our organization meets the highest standards of governance.
- Manage the logistics and smooth running of Board and Committee meetings, including agenda planning and minute-taking, to ensure efficient decision-making.
- Maintain key registers, such as Declarations of Interests, and oversee the publication of meeting papers and resolutions, ensuring transparency and accountability.
- Lead on statutory returns and ensure all required documentation is filed with appropriate bodies, ensuring compliance with regulatory requirements.
- Guide governance reviews aligned with the Charity Governance Code to maintain high standards of governance and risk management.
- Support the review and updates of standing orders, terms of reference, and governance documents, ensuring that our governance framework remains robust and effective.
- Develop and implement governance processes that enable agile decision-making, ensuring that our organization remains adaptable and responsive to changing circumstances.
- Provide secretarial support and governance advice to our other legal entities, ensuring that our governance framework is consistent and effective across the organization.
- Monitor and report on the organization's risk management practices, ensuring that we maintain a strong risk management culture.
- Coordinate Annual General Meetings and Special General Meetings, ensuring smooth execution and effective communication with stakeholders.
- Communicate Board decisions to relevant stakeholders and track progress on action points, ensuring that our governance framework is transparent and accountable.
- Manage the organization's electronic meeting system for publishing papers and resources, ensuring that our governance framework is accessible and user-friendly.
- Assist with the recruitment, induction, and training of trustees and committee members, ensuring that our governance framework is robust and effective.
- Strong experience in a governance role, ideally within a charity or membership organization, with a solid understanding of governance models, best practice, and current legal requirements.
- Excellent organizational skills with a keen attention to detail and accuracy, ensuring that meetings, documentation, and statutory requirements are all managed efficiently.
- Strong communication skills, both written and verbal, with experience working closely with senior leadership and trustees, ensuring effective communication and collaboration.
- Proven ability to work under pressure, meet strict deadlines, and manage multiple tasks simultaneously, ensuring that our governance framework remains robust and effective.
- Experience with statutory returns, compliance, and risk management processes, ensuring that our organization maintains a strong risk management culture.
