Job Overview
Due to an increasing workload in the energy sector, our Corporate Transactions team is seeking a skilled lawyer to join our London office. The position will primarily concentrate on private mergers and acquisitions (M&A) and project development across diverse geographical regions, particularly within the oil and gas sector (including LNG) and the broader energy domain, encompassing energy transition transactions in areas such as hydrogen, sustainable fuels, and carbon capture, utilization, and storage (CCUS).
Key Responsibilities:
1. Drafting and negotiating transaction documents: Prepare, review, and negotiate legal agreements to facilitate private M&A transactions, including sale and purchase agreements, share subscription agreements, joint venture agreements, pre-bid agreements, and related documents.
2. Due diligence: Oversee and lead extensive due diligence processes (both sell-side and buy-side) and disclosure activities.
3. Transaction management: Collaborate with colleagues and other advisors to ensure clients receive cohesive advice and that client objectives and timelines are met.
4. Engage in business development and networking initiatives.
5. Contribute to departmental knowledge and training efforts.
6. Mentor and support junior lawyers.
7. Risk and Control: Ensure all activities comply with regulatory requirements and internal policies.
Role Description:
- Act with integrity to provide insightful advice to clients while collaborating effectively with colleagues;
- Take responsibility for daily matters, ensuring direct client engagement, and proactively advance complex issues with appropriate partner support;
- Demonstrate strong verbal and written communication skills, along with innovative drafting abilities;
- Exhibit confidence and effectiveness in negotiations with clients and counterparties;
- Communicate effectively with clients to understand their needs and provide practical, cost-effective solutions;
- Build and maintain client relationships, identifying opportunities to strengthen these connections;
- Understand the evolving landscape of our business, competitors, and clients, collaborating with the business development team to leverage this information for new opportunities;
- Develop and maintain a network of business contacts, both internally and externally;
- Exhibit meticulous attention to detail, identifying inconsistencies that may indicate quality issues or misunderstandings of client needs;
- Gather information from various sources to assess personal strengths and weaknesses;
- Recognize when team members require support and be approachable for guidance, providing constructive feedback; and
- Contribute to fostering a positive work environment and assist in training and development initiatives.
The ideal candidate will possess the following qualifications:
- Associate/Senior Associate with 4-6 years of post-qualification experience in corporate transactions, including private M&A and project development in the oil and gas and broader energy sectors;
- A collaborative team player capable of working effectively with colleagues at all levels;
- A strong academic background;
- Excellent written and verbal communication skills;
- Experience in drafting, reviewing, and negotiating legal documents in a private practice setting;
- An adaptable individual who is a quick learner, with experience in multiple jurisdictions;
- Client-facing experience with the ability to understand and respond to client needs while building relationships;
- A willingness to acquire new skills and expand technical knowledge beyond core transactional expertise;
- Strong attention to detail and well-developed analytical and drafting capabilities;
- A commercial mindset with the ability to advise and negotiate confidently across various contractual arrangements;
- Capability to lead teams on transactions or specific components of transactions;
- A passion for delivering exceptional outcomes for clients through innovative approaches.
