Job Overview

Due to an increasing workload in the energy sector, our Corporate Transactions team is seeking an experienced attorney to join our London office. The primary focus of this role will be on private mergers and acquisitions (M&A) and project development across diverse geographies, particularly within the oil and gas sector (including LNG) and the broader energy landscape, encompassing energy transition transactions in areas such as hydrogen, sustainable fuels, and carbon capture, utilization, and storage (CCUS).

Key Responsibilities:

  • Drafting and negotiating transaction documents: Prepare, review, and negotiate legal agreements to facilitate private M&A transactions, including sale and purchase agreements, share subscription agreements, joint venture agreements, pre-bid agreements, and related documents;
  • Due diligence: Oversee and lead extensive due diligence processes (both sell-side and buy-side) and disclosure activities;
  • Transaction management: Collaborate with colleagues and other advisors to ensure clients receive cohesive advice and that client objectives and timelines are achieved;
  • Engage in business development and networking initiatives;
  • Contribute to departmental knowledge and training programs;
  • Mentor and support junior attorneys;
  • Risk and Control: Ensure that all tasks and responsibilities are executed in full compliance with regulatory standards and internal policies.

  • You will gather insights from various sources to assess your strengths and areas for improvement;
  • You will be approachable for team members seeking support and provide constructive feedback;
  • You will contribute to fostering a positive work environment and assist in training and development efforts.

Essential Skills and Experience

The ideal candidate will possess the following qualifications:
  • Associate/Senior Associate with 4-6 years of post-qualification experience in corporate transactions, including private M&A and project development in the oil and gas and broader energy sectors;
  • A collaborative team player capable of working effectively with colleagues at all levels;
  • A strong academic background;
  • Excellent communication skills, both written and verbal;
  • Experience in drafting, reviewing, and negotiating legal documents in a private practice setting;
  • An adaptable individual who is a quick learner, with experience across multiple jurisdictions;
  • Client-facing experience with the ability to understand and respond to client needs while building relationships;
  • A willingness to acquire new skills and expand technical knowledge beyond core transactional competencies;
  • Strong analytical and drafting skills with a keen attention to detail;
  • A commercial mindset with the ability to advise and negotiate confidently across various contractual arrangements;
  • Capability to lead teams on transactions or specific components of transactions;
  • A passion for delivering exceptional outcomes for clients through innovative approaches.

  • Representing JX Nippon in the sale of its UK upstream oil and gas business to Hitec-owned NEO Energy;
  • Assisting GIC with its strategic investment in Eneus Energy to support a pipeline of green hydrogen projects;
  • Supporting Mitsui in its investment in Storegga Geotechnologies for a major CCS project;
  • Advising IBMS on its investment by Lazard Asset Management for the Bio4gas platform;
  • Representing Brookfield in its acquisition of the East-West Pipeline;
  • Assisting a Japanese investor with a proposed investment in an energy trading optimization company;
  • Advising New Energy Technology on an equity investment in Supercritical;
  • Supporting Northleaf Capital in its acquisition of the Douglas Terminal in Belgium.
